1. Agreement. This Agreement (the “Agreement”) specifies the Terms and Conditions for access to and use of Tape Me Mobile (the “Site”) and describes the terms and conditions applicable to your access of and use of the Site. This Agreement may be modified at any time by Tape Me Mobile: Audition Concierge, LLC upon the posting of a modified agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at any time at http://www.tapememobile.com. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement, and will establish a contractual relationship between you and Tape Me Mobile: Audition Concierge, LLC.  

2. Services. Tape Me Mobile: Audition Concierge, LLC is a technology platform that enables users on its mobile applications or websites to arrange and schedule services (the “Services”) for the recording and production of audition tapes with independent third-party providers of such services, whom are under agreement with Tape Me Mobile: Audition Concierge, LLC.

3. Privacy. Your visit to our site is also governed by our Privacy Policy. Please review our Privacy Policy at: http://www.tapememobile.com/PrivacyPolicy

4. Ownership. All content included on this site is and shall continue to be the property of Tape Me Mobile: Audition Concierge, LLC and is protected under applicable copyright, patent, trademark, and other proprietary law. Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this site.

5. Copyrights. All content, graphics, code and software used on or incorporated into this Site, and the arrangements or integration of all such content, graphics, code and software, are subject to copyrights held by or licensed to Tape Me Mobile: Audition Concierge, LLC and all rights thereto are specifically reserved.

6. Trademarks. Tape Me Mobile: Audition Concierge and any accompanying logos are either trademarks or registered trademarks of Tape Me Mobile: Audition Concierge, LLC. Other product and company names mentioned on this Site may be trademarks of their respective owners.

7. Intended Audience. This website is intended for adults only. It is not intended for any children under the age of 18. You may not allow persons under the age of 18 to receive the Services provided by us unless they are accompanied by you. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes. In certain instances, you may be asked to provide proof of identity to use the Services, and you agree that you may be denied such Services if you refuse to provide proof of identity.     

8. Site. Subject to your compliance with these Terms and Conditions, Tape Me Mobile: Audition Concierge, LLC grants you a limited, revocable, nonexclusive, non-transferable license to use this site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the site, reverse engineer or break into the site, or use materials, products or services in violation of any law. The use of this website is at the discretion of Tape Me Mobile: Audition Concierge, LLC and the Company may elect to terminate your use of this website at any time. Any rights not expressly granted herein are reserved by Tape Me Mobile: Audition Concierge, LLC.

9. Third Party Services and Content. The Services may be made available or accessed in connection with third party services and content that Tape Me Mobile: Audition Concierge, LLC does not control. By agreeing to these Terms and Conditions you acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content. Tape Me Mobile: Audition Concierge, LLC does not endorse such third party services and/or content, and in no event shall Tape Me Mobile: Audition Concierge, LLC be responsible or liable for third-party services and/or content.

10. Compliance with Laws. You agree to comply with all applicable local, state and federal laws regarding your use of the Site. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

11. Indemnification. You agree to indemnify, defend and hold Tape Me Mobile: Audition Concierge, LLC and our partners, employees, and affiliates, harmless from any liability, loss, claim and expense, including reasonable attorney’s fees, relating to your violation of this Agreement or use of the Site.

12. Disclaimer.

THE INFORMATION ON THIS SITE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. TAPE ME MOBILE: AUDITION CONCIERGE, LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE SHALL BE TO DISCONTINUE USING THE SITE.

13. Limitation of Liability.

UNDER NO CIRCUMSTANCES WILL TAPE ME MOBILE: AUDITION CONCIERGE, LLC BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

14. Use of Information. Tape Me Mobile: Audition Concierge, LLC reserves the right, and you authorize us, to use and assign all information regarding Site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

15. Copyrights and Copyright Agent. If you believe your work has been copied in a way that constitutes copyright infringement, please provide a notice containing all of the following information to our Copyright Agent:

(a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

(b) A description of the copyrighted work that you claim has been infringed;

(c) A description of where the material that you claim is infringing is located on the Site;

(d) Your address, telephone number, and email address;

(e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

(f) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

16. Arbitration. You agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration between you and Tape Me Mobile: Audition Concierge, LLC, except that Tape Me Mobile: Audition Concierge, LLC retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and Tape Me Mobile: Audition Concierge, LLC are each waiving the right to a trial by jury or to participate as a plaintiff or class in any purported class action or representative proceeding. Further, unless both you and Tape Me Mobile: Audition Concierge, LLC otherwise agree in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding.

17. Applicable Law. You agree that the laws of the state of California without regard to conflicts of laws provisions will govern these Terms and Condition of Use and any dispute that may arise between you and Tape Me Mobile: Audition Concierge, LLC or its affiliates.

18. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

19. Termination. Tape Me Mobile: Audition Concierge, LLC may terminate this Agreement at any time, with or without notice, for any reason.

20. Entire Agreement. These current Terms of Use expressly supersede any prior agreements.

CONDITIONS

1. Booking of Appointment. You agree that an appointment for Services must be booked at least two (2) hours before said Services are required.

2. Payment.  You understand that the use of the Services may result in charges to you for the services rendered. After you have received the services or goods obtained through your use of the Service, Tape Me Mobile: Audition Concierge, LLC, will facilitate your payment of the applicable charges on behalf of the independent third-party provider, as such third-party provider’s limited payment collection agent. Payment of the charges in such manner shall be considered the same as a payment made directly by you to the independent third-party provider.   

3.Cancellation Policy. If a scheduled appointment is cancelled within 24 hours there will be no refund. If cancelled more than 24 hours client will receive full refund. Please contact us to avoid being charged a cancellation fee.

4. Refund Policy.  In the event that you are not satisfied with the Services provided by the independent contractor selected for your taping, whether or not a refund will be provided will be determined on a case by case basis after a thorough investigation. If after an investigation, it is determined that your complaint is meritorious, you will receive a credit of up to 50% of the total fee paid. You acknowledge and agree that the determination to award a refund, and the amount of said refund will be made in the sole discretion of the Tape Me Mobile: Audition Concierge, LLC team. Additionally, you acknowledge and agree that in order to receive a full refund in the event of your cancellation of a requested Service, you must cancel your request at least 24 hours prior to your scheduled Service in order to receive a full refund.  If the requested Service is not cancelled at least 24 hours prior to your scheduled Service, Tape Me Mobile: Audition Concierge, LLC will credit your account in the amount paid for use on future services.  

5. Health and Safety. We will work with Health and Safety issues in mind and reserve the right not to tape in dangerous or unsafe situations.

6. Filming. We make every effort to arrive at locations on time but we cannot be held responsible for lateness or non-attendance caused by circumstances outside our control such as severe weather conditions, unforeseen illness/incapacity, accident, technical or equipment failure. In such circumstances we will contact you as soon as possible to discuss alternative arrangements.

7. Editing. We aim to have a copy of the final tape available for you within three (3) hours of taping your audition. Tape Me Mobile: Audition Concierge, LLC also offers an expedited service for an additional fee whereby a copy of the final tape will be available for you within one (1) hour of the taping of your audition.
